In 1982 he rose to become CEO of Martin-Marietta. During an attempt by William M. Agee of Bendix Corporation (a very large electronics firm) to buy Martin-Marietta (an aerospace firm) with a $1.5B hostile offer, Pownall's innovative response was to purchase Bendix with a $1.6B hostile offer. This counter-action against takeover became known as the "Pacman Defense." Allied Corp. completed the takeover of Bendix with the help of a stock swap with Martin Marietta. The circumstances of this event rank among the most celebrated episodes in the history of business. Upon retirement, Pownall purchased a farm in Gordonsville, Virginia.
